Terms & Conditions

The agreement between your company and ours: what you get, what you pay, who owns what, and where responsibility sits when the layer acts on its own.

Last updated 26 September 2026

01. Agreement to these terms

These terms form a binding agreement between you and Shoten AI Technologies Private Limited ("Shoten AI", "we", "us") and govern your use of our website and platform. By creating an account, signing an order form or using the service, you accept them. If you are accepting on behalf of a company, you confirm you are authorised to bind it.

If you do not accept these terms, do not use the service. Where a signed order form or enterprise agreement conflicts with these terms, that document takes precedence.

02. Definitions

  • Platform means the Shoten AI intelligence layer, its knowledge base, agents, integrations, dashboards and APIs.
  • Customer Data means the business data you connect, upload or generate through the platform.
  • Output means decisions, recommendations, summaries, answers and actions the platform produces.
  • Agent means an automated worker that carries out a task within the platform.
  • Autonomy Tier means the level of authority you assign to a class of decision, from observation only through to autonomous execution.
  • Authorised User means an individual you permit to use the platform under your account.

03. The service

We grant you a non-exclusive, non-transferable right to access and use the platform during your subscription, for your internal business purposes, subject to these terms and your plan limits.

We improve the platform continuously and may add, change or remove features. We will not materially reduce core functionality during a paid term without notice, and where we must, you may terminate and receive a pro-rata refund of prepaid fees.

04. Accounts and eligibility

  • You must be at least 18 and able to form a binding contract.
  • You are responsible for the accuracy of your account details and for keeping credentials secure.
  • You are responsible for everything done under your account, including by Authorised Users.
  • Tell us promptly at the contact address below if you suspect unauthorised access.

05. Plans, billing and renewal

The platform is offered on the following plans. Basic is USD 200 per month and includes the company knowledge base, plain-language question and answer across departments, the intelligence layer connecting your departments, a single reasoning model and tiered decision approval. Pro is USD 400 per month and adds the agent workforce, multiple models for intelligence, full analytics and reporting, adaptive routing and priority support. Enterprise is priced by agreement.

  • Fees are quoted in US dollars and billed in advance each month unless your order form says otherwise.
  • Prices exclude GST, VAT, withholding and other taxes, which you are responsible for.
  • Subscriptions renew automatically for successive periods until cancelled.
  • You may cancel at any time from your account or by writing to us. Cancellation takes effect at the end of the current billing period and you keep access until then.
  • Fees already paid are non-refundable except where these terms or applicable law say otherwise.
  • We may change prices with 30 days notice. A change takes effect at your next renewal, and you may cancel before it applies.
  • If payment fails we may suspend the account after written notice and a reasonable chance to fix it.

06. Design partner terms

If you join the design partner programme, you get a deployment into one department at a reduced fixed fee, regular working sessions with our team, input into the product, and pricing that is locked when you scale to further departments. In return you agree to give us candid feedback and to give the named department reasonable access to the systems it runs on.

Feedback you give us is something we may use freely to improve the product, without obligation to you. This does not give us any right to your Customer Data beyond what the rest of these terms allow. We will not name you publicly as a customer without your written permission.

07. Acceptable use

You agree not to use the platform to:

  • Break the law, infringe intellectual property or violate anyone’s privacy.
  • Upload malware, or probe, scan or attempt to breach the service or its tenancy isolation.
  • Reverse engineer the platform, or use it to build a competing product.
  • Resell, sublicense or provide the platform to third parties unless we have agreed in writing.
  • Circumvent plan limits, rate limits or usage metering.
  • Automate decisions that applicable law requires a qualified human to make.
  • Process special category personal data without a data processing agreement covering it.

We may suspend access without notice where we reasonably believe there is a serious or ongoing breach, a security threat, or a legal requirement to act. We will tell you why as soon as we can.

08. Your data and the licence you give us

Customer Data is yours. We claim no ownership of it. You grant us a limited, worldwide, royalty-free licence to host, process, transmit and display it solely to provide and support the platform, and to comply with the law.

You confirm you have the rights and, where required, the consents needed for us to process the data you connect, including any personal data it contains about your staff or your own customers.

We do not use Customer Data to train foundation models, and our model providers are contractually barred from doing so. Learning from outcomes stays within your workspace and is never pooled across customers.

On termination you can export your data. We delete or return it within 30 days of the subscription ending, except where the law requires us to keep it.

09. Intellectual property

We own the platform, its software, models, interfaces, documentation and branding, and all associated intellectual property. Nothing here transfers any of it to you beyond the right to use the service.

As between you and us, Output generated from your Customer Data is yours to use for your business purposes. Output is generated by automated systems and may not be unique to you; we may generate similar output for others.

10. How AI output works, and its limits

This section matters more than most, so please read it. The platform produces decisions and takes actions using automated reasoning over the data you connect. That reasoning is probabilistic. It can be wrong, incomplete, or out of date, and it can be confidently wrong.

  • Output is provided for business decision support. It is not legal, financial, tax, medical or other professional advice, and must not be relied on as a substitute for a qualified professional.
  • Output quality depends on the quality, completeness and freshness of the data you connect. Incomplete inputs produce unreliable conclusions.
  • You are responsible for reviewing Output before relying on it for anything consequential.
  • We do not warrant that Output will be accurate, complete, or fit for a particular purpose.

11. Autonomy tiers and your responsibility

The platform lets you set how much authority it has, decision class by decision class, from observation only through to autonomous execution. That configuration is yours to make and yours to maintain.

  • You decide which decision classes run autonomously and which require a named human approver. You are responsible for that choice.
  • Where the platform prepares an outbound message under an autonomy tier that does not require approval, it creates that message as an unsent draft in your mailbox. A person still sends it.
  • Actions taken by the platform within the autonomy you configured are treated as actions taken by you, and you are responsible for them and their consequences.
  • You agree to keep meaningful human oversight proportionate to the risk, and to name a responsible owner for each autonomous decision class.
  • You agree to review your tier configuration whenever your business, your risk appetite or the law changes.
  • Where a decision has legal or similarly significant effects on an individual, you agree to keep a human in the loop as data protection law requires.

We maintain an audit record of decisions, the inputs behind them, the approval path and the outcome, so that autonomous action remains reviewable after the fact.

12. Confidentiality

Each of us may learn confidential information about the other. Each agrees to protect it with at least reasonable care, to use it only for this agreement, and not to disclose it except to people who need it and are bound by similar obligations. This does not cover information that is public through no fault of the receiver, already known, independently developed, or required to be disclosed by law, provided reasonable notice is given where permitted.

13. Third-party integrations

The platform connects to systems you already run. Your use of those systems is governed by your agreements with their providers, not by us. We are not responsible for third-party services, their availability, or what they do with data you instruct us to send them. If an integration changes or is withdrawn by its provider, the related functionality may change.

14. Warranties and disclaimers

We warrant that we will provide the platform with reasonable skill and care and in line with any service levels in your order form.

Otherwise, and to the fullest extent the law allows, the platform is provided as is and as available. We disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error free, or that Output will be accurate or complete.

15. Limitation of liability

Nothing in these terms excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.

Subject to that, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profit, revenue, goodwill, business or data, however caused.

Subject to that, each party’s total aggregate liability arising out of or in connection with this agreement is limited to the fees you paid us in the 12 months before the event giving rise to the claim.

These limits reflect how the fees are set and apply even if a limited remedy fails its essential purpose.

16. Indemnification

We will defend you against a third-party claim that the platform infringes their intellectual property, and pay damages finally awarded, provided you tell us promptly and let us control the defence. This does not apply to claims arising from Customer Data, from use outside these terms, or from combining the platform with things we did not supply.

You will defend us against third-party claims arising from your Customer Data, your use of the platform in breach of these terms, or actions the platform took within an autonomy configuration you set.

17. Term, termination and suspension

  • This agreement runs while you hold an active subscription.
  • Either party may terminate for material breach that is not fixed within 30 days of written notice.
  • Either party may terminate immediately if the other becomes insolvent or enters administration.
  • On termination your right to use the platform stops, and you can export your data for 30 days.
  • Sections that by their nature should survive termination do so, including confidentiality, IP, liability and governing law.

18. Changes to these terms

We may update these terms as the product and the law change. For material changes we will give at least 30 days notice by email or in the product. Continuing to use the platform after a change takes effect means you accept it. If you do not, you may terminate before it applies and receive a pro-rata refund of prepaid fees.

19. Governing law and disputes

These terms are governed by the laws of India. The courts of Bengaluru, Karnataka, India have exclusive jurisdiction, and both parties submit to it.

Before starting proceedings, both parties agree to try in good faith to resolve the dispute by discussion between senior representatives for at least 30 days. Nothing stops either party seeking urgent injunctive relief.
